This Week in Chancery Court: Tesla, Squarespace, Hudl and PlayOn

Elon Musk and Tesla Inc. are back at the Delaware Chancery Court this week for a hearing on some of the remaining claims of corporate wrongdoing filed there before the electric vehicle-maker’s reincorporation in Texas.

At the Delaware Supreme Court—amid a packed month of high-profile arguments—appeals of four separate Chancery Court rulings will be heard back-to-back in Dover, Del., on Wednesday. Those rulings involve: legal fees stemming from litigation over the $3.1 billion sale of Straight Path Communications Inc. to Verizon Communications Inc.; Trade Desk Inc. CEO Jeff Green’s compensation package; Carlyle Group Inc.‘s $77.5 million sale of Authentix Inc. to Blue Water Energy LLP; and breach-of-duty claims over the $497 million sale of Smart & Final Stores Inc. to Apollo Global Management Inc.

These are the highlights from the Chancery Court’s calendar:

Monday: Ertel v. Elkins, Del. Ch., No. 2024-0827, hearing 10/20/25.

At issue: Aerial surveillance company TCOM LP and Equinox Innovative Systems Inc. CEO Randy Morser seek to dismiss a lawsuit alleging Morser sabotaged Equinox’s sale in order to renegotiate the transaction on self-dealing terms. Former Equinox directors sued the founder in August 2024, claiming Morser’s foot-dragging on TCOM’s initial offer was intended to stop important investors from exercising certain stock options to gain a say in the transaction. TCOM’s attorneys plan to refer during oral arguments to a recent Delaware Supreme Court opinion reversing Chancery Court rulings blaming TC Energy Corp. for driving down the price of its acquisition of Columbia Pipeline Group Inc. with threats to publicly bail on deal negotiations.

Court action: Oral arguments on the motions to dismiss will be held in Wilmington, Del.

Drone Company CEO Sued for Sabotaging Startup to Manipulate Sale

Tuesday: Mich. Elec. Emp. Pension Fund v. Squarespace, Inc., Del. Ch., No. 2024-1041, hearing 10/21/25.

At issue: Vice Chancellor Paul A. Fioravanti Jr. will hear a pension fund’s exceptions to a post-trial ruling from Senior Magistrate in Chancery Selena Molina denying its demand for additional internal records from Squarespace Inc. The demand sought Squarespace CEO Anthony Casalena’s emails related to the website publishing company’s $7.2 billion sale to Permira Advisers LLC.

Court action: Fioravanti will preside over a hearing in Wilmington, Del.

Squarespace’s $7 Billion Sale Draws Scrutiny From Pension Fund

Tuesday: 2080 Media, Inc. v. Agile Sports Techs., Inc., Del. Ch., No. 2025-0451, hearing 10/21/25.

At issue: Hudl, a video analytics platform for high school sports coaches, seeks to exit a lawsuit claiming it interfered with rival PlayOn’s exclusive licenses by launching a streaming service for consumers. PlayOn, a spin-off of Turner Broadcasting System Inc., says Hudl is free to compete but it can’t unfairly misappropriate “lawfully bargained-for, exclusive media rights.”

Court action: Oral arguments on the motion to dismiss will be held in Wilmington, Del.

High School Sports Streamer PlayOn Hits Rival Hudl With Lawsuit

Wednesday: In re Tesla, Inc. Derivative Litig., Del. Ch., No. 2024-0631, and Perry v. Musk, Del. Ch., No. 2024-0560, hearing 10/22/25.

At issue: Chancellor Kathaleen St. Jude McCormick, whose rejection of Musk’s CEO pay package at Tesla is currently being considered by the state’s top court, in January combined multiple lawsuits over the billionaire’s alleged insider trading, the Twitter Inc. acquisition, and his side projects in artificial intelligence. Musk says investor claims that he improperly sold over $7.5 billion in Tesla shares don’t belong in Delaware because Tesla shifted its incorporation to Texas. He and other board members also have said consolidated claims in the coordinated litigation just “nitpick” his personal behavior when investors should be grateful for their soaring Tesla returns.

Court action: McCormick will preside over a hearing in Wilmington, Del.

Musk Seeks Dismissal of Suit Over $7.5 Billion Tesla Stock Sale

Friday: Solak v. Mountain Crest Capital LLC, Del. Ch., No. 2023-0469, settlement hearing 10/24/25.

At issue: Vice Chancellor Bonnie W. David must give final approval to a proposed $1 million settlement to resolve investor claims that the blank-check deal that took Better Therapeutics Inc. public resulted in a windfall for Mountain Crest Capital LLC insiders. David’s predecessor allowed investor John Solak to advance his claims in October 2024, saying the case “appears to be the first to deny a motion to dismiss solely on an affirmative statement of investment value in conflict with a failure to also disclose net cash.” Solak’s attorneys from Cooch and Taylor PA and Newman Ferrara LLP seek a fee award totalling $325,000.

Court action: The settlement hearing will be held in Georgetown, Del.
