This Week in Chancery Court: Paramount Skydance Files, Fox Corp.

A pension fund’s books-and-records fight over the $8 billion merger between Paramount Global and Skydance Media LLC goes to the Delaware Supreme Court this week.

The justices also will hear arguments over a Delaware Chancery Court ruling in a feud between billionaire developer Sol Goldman’s descendants over controlling interests in their real estate empire. The high court hears oral arguments in Dover, Del.

Here’s a look at the Chancery Court calendar:

Monday: Cascia v. Farmer, Del. Ch., No. 2023-0520, hearing 11/10/25.

At issue: Chancellor Kathaleen St. Jude McCormick previously decided Hertz Global Holdings Inc.'s board and private equity backers should face litigation over $2.8 billion in stock buybacks that allegedly allowed the investment firms to grab a majority stake. Now the board’s special litigation committee will present a motion to terminate the derivative claims in the lawsuit. While the shareholder behind the litigation doesn’t oppose the committee’s motion, he reserves the right to seek a fee award and his right to argue for class action claims in his lawsuit.

Court action: A hearing will be held in Wilmington, Del.

Hertz Board, Backers Ordered to Face $2.8 Billion Buyback Case

Wednesday: Kili/Bikini/Ejit Loc. Gov’t Council v. Arden Tr. Co., Del. Ch., No. 2024-0866, hearing 11/12/25.

At issue: Arden Trust Co. seeks to exit a lawsuit alleging it mismanaged two trusts set up to compensate Bikini people for multiple forced relocations since the 1940s due to nuclear weapon testing. “It is no secret that the new regime is not happy with how the previous regime used the trust funds and that much of the funds have been expended,” the trust says. “However, instead of pursuing claims against the previous regime, the newly composed Council is unfairly and improperly blaming Arden.”

Court action: Oral arguments will be held in Wilmington, Del.

‘Nuclear Nomads’ of Pacific Sue Over Depleted Bomb Test Trusts

Wednesday: NEC Fund VI HE Lender LLC v. Hecate Holdings LLC, Del. Ch., No. 2025-0875, hearing 11/12/25.

At issue: New Energy Capital Partners LLC affiliates seek a preliminary injunction to block Hecate Energy Group LLC and its holding company from transferring or spending proceeds from a settlement ending a buyout dispute with Repsol SA. The lenders claim this money is their collateral for a loan made in 2023. The motion comes in a lawsuit alleging Hecate’s founders stole millions from private equity lenders by excluding them from the settlement with Repsol.

Court action: A hearing will be held in Wilmington, Del.

Hecate’s PE Creditors Sue for Theft Over Repsol Stake Buyout

Thursday: In re EngageSmart, Inc. S’holder Litig., Del. Ch., No. 2023-1093, oral arguments 11/13/25.

At issue: Vice Chancellor J. Travis Laster has dismissed affiliates of Vista Equity Partners LLC from litigation challenging its $4 billion take-private acquisition of EngageSmart Inc. He now hears motions to dismiss the investor’s claims from the software company, a special committee of the board, former executives and directors, General Atlantic LP, and Goldman Sachs & Co. LLC.

Court action: Oral arguments will be heard in Wilmington, Del.

Vista’s $4 Billion EngageSmart Deal Hit With Court Challenge

Thursday: In re Fox Corp. Deriv. Litig., Del. Ch., No. 2023-0418, teleconference 11/13/25.

At issue: Vice Chancellor Bonnie W. David previously agreed to revisit portions of a decision allowing shareholder claims to advance against Rupert Murdoch, his son Lachlan, former US House Speaker Paul Ryan, and other current and former Fox Corp. board members. The lawsuit is led by several pension funds over Fox’s $787.5 million settlement with Dominion Voting Systems Inc., the largest ever in a defamation case. David will now hear arguments over the scope of summary judgment discovery. The pension funds say they’re being blocked from gathering evidence regarding director Jacques Nasser’s independence from Murdoch. The defendants say it’s the pension funds who are holding up the discovery process.

Court action: The hearing will be held via teleconference.

Murdochs Win Round in Court Over Dominion Defamation Settlement

Thursday: Lebanon Cnty. Emp. Ret. Fund v. Collis, Del. Ch., No. 2021-1118, settlement hearing 11/13/25.

At issue: Vice Chancellor J. Travis Laster must give final approval to a $111.25 million settlement proposed to resolve claims that Cencora Inc. directors ignored red flags about the drug distributor’s handling of opioid painkillers and failed to run required systems to monitor drug sales. Cencora was known as AmerisourceBergen Corp. before it changed its name in 2023. Attorneys for the pension funds leading the litigation seek a $24.8 million fee award.
