This Week in Chancery Court: BitGo, Galaxy, More Jenzabar Claims

Revived claims over an abandoned merger between Mike Novogratz’s Galaxy Digital Holdings and crypto custodian BitGo, and the latest dispute involving education technology firm Jenzabar Inc., are the highlights on the Delaware Chancery Court calendar this week.

Here’s some more from those case dockets:

Monday: BitGo Holdings, Inc. v. Galaxy Digit. Holdings LP, Del. Ch., No. 2022-0808, telephonic hearing 9/22/25.

At issue: The Delaware Supreme Court revived BitGo Holdings Inc.'s lawsuit against investor Novogratz’s Galaxy Digital over their failed merger. Since that May 2024 ruling returning the case to the Chancery Court, the parties resumed a track toward trial, currently scheduled in November before Chancellor Kathaleen St. Jude McCormick. BitGo has asked the court to compel Galaxy to produce “newly discovered” documents and communications related to the merger. Galaxy says the materials sought are “irrelevant.”

Novogratz’s Galaxy, BitGo Merger Dispute Revived in Delaware (1)

Tuesday: The Gregory M. Raiff 2000 Tr. v. Jenzabar, Inc., Del. Ch., No. 2024-0368, oral arguments 9/23/25.

At issue: Education technology company Jenzabar Inc. seeks to dismiss investor claims alleging misconduct by its former CEO, his ex-wife, and other senior leaders that significantly diluted other shareholders’ stakes. According to the April 2024 complaint, previous litigation in which former CEO Robert Maginn Jr.was ordered to pay $25 million in damages to investors indicated a pattern of misconduct that included senior leaders beyond Maginn. It’s the latest lawsuit in a complex history of disputes involving Maginn, his ex-wife, and Jenzabar, spanning multiple years and jurisdictions.

Court action: Oral arguments on the motion to dismiss will be heard in Wilmington, Del.
