Trade Desk, Jeff Green Beat Bid to Block Delaware-to-Nevada Move

Trade Desk Inc. and billionaire CEO Jeff Green prevailed in court Wednesday against an attempt to stop the tech company’s reincorporation from Delaware to Nevada, which imposes looser restrictions on insider self-dealing.

A Delaware judge declined to block an upcoming investor vote on the relocation, rejecting claims that Trade Desk is set to violate charter sections requiring a two-thirds vote for certain types of governance changes. The supermajority provisions expressly cover only charter amendments, not other types of corporate actions that may have the same effect, the judge said.
