A Florida business development firm may be liable for monetary sanctions for its “antics” in a contract dispute with an Israeli software company, because even a single misrepresentation that didn’t defraud the court may warrant punishment, the Second Circuit said Tuesday.
International Technologies Marketing Inc. entered into an agreement with Verint Systems Ltd. to find Brazilian firms interested in purchasing Verint’s telecommunications monitoring systems.
ITM identified one such business partner, which Verint sought to acquire outright, but negotiations initially faltered. After its contract with ITM had expired, Verint finally succeeded in purchasing the Brazilian company, without ITM’s assistance.
