A federal judge dismissed a lawsuit accusing UserTesting Inc. of misleading shareholders ahead of the digital consumer insight company’s acquisition by private equity firms Thoma Bravo LLC and Sunstone Partners Management LLC.
The plaintiff, a UserTesting stockholder, hadn’t set out facts that would create the inference that UserTesting’s board of directors acted negligently in preparing the proxy statement announcing the proposed deal, Judge Araceli Martínez-Olguín in the US District Court for the Northern District of California said in a Monday order.
Martínez-Olguín dismissed the complaint but gave the plaintiff a chance to amend.
