Ultimate Software Group Sale Draws Securities Suit

The Ultimate Software Group Inc. faces a new suit over its proposed acquisition by an investor group led by private equity firm Hellman & Friedman.

Deborah Weinstein claims the company’s proxy statement is so incomplete and misleading, shareholders can’t trust the accuracy of its financial projections.

Weinstein is suing the company and members of the board of directors, and has asked the U.S. District Court for the District of Delaware to certify her case as a class action.
