Trade Desk Board Sued Over Billionaire CEO’s Super-Voting Stock

A pension fund filed suit in Delaware against Trade Desk Inc. and its billionaire CEO, Jeff Green, claiming he “schemed” to fortify his control over the company by ditching a charter provision that was supposed to eliminate its dual-class stock structure if he sold enough “super-voting” shares.

The proposed shareholder class action was made public late Thursday in Delaware Chancery Court, where it was filed by the City Pension Fund for Firefighters and Police Officers in the City of Miami. In addition to Green and the company, it targets the board and certain top officers.
