Nevada LLC’s Reinstatement Retroactive to Time of Dissolution

The U.S. District Court for the Northern District of Illinois Dec. 16 ruled that once a Nevada limited liability company that had been administratively dissolved was reinstated, that reinstatement was retroactive to the time of dissolution (Springhead LLC v. Crowell, , 2013 BL 345429).

Applying this ruling, Judge John Z. Lee dismissed claims asserted against the manager of a Nevada LLC personally.

The court said that plaintiff Springhead LLC, an Illinois LLC, brought suit against a Nevada LLC, Solution Publishing LLC and certain individual defendants, including Byron T. Crowell.
