Microcap CEOs Settle $112 Million SEC Stock Scheme Lawsuit

CEOs of three microcap companies settled Securities and Exchange Commission allegations that they issued shares with an aggregate market value of $112 million in a pump-and-dump scheme.

Judge Karen Gren Scholer will need to approve the proposed judgments filed July 3. William Justice, Randell Torno, Brian Shibley and disbarred attorney Keith Rosenbaum violated securities laws by helping their friend Philip Verges run a complex stock and promissory note scheme, said the SEC’s complaint filed in the US District Court for the Northern District of Texas last week.
