Delaware Court Lets TripAdvisor’s Nevada Relocation Plan Proceed

TripAdvisor Inc.’s senior leaders must face a lawsuit challenging the company’s planned relocation to Nevada, although Delaware’s Chancery Court said it won’t block the company from leaving the state.

Vice Chancellor J. Travis Laster, ruling Tuesday on a motion to dismiss, said the litigation rights provided to shareholders by Nevada law “are inferably less than what Delaware provides,” calling into question the fairness of the move. The investor lawsuit argues the relocation is designed to better shield company directors—including Greg Maffei, the chairman of TripAdvisor’s parent company—from investor suits.
