Permira, Warburg Near $8.4 Billion Clearwater Analytics Deal (1)

A group of private equity firms led by Permira and Warburg Pincus is in advanced talks to acquire investment and accounting software maker Clearwater Analytics Holdings Inc., according to people familiar with the matter.

Clearwater, which the two buyout firms helped take public in 2021, would be valued in a transaction at about $8.4 billion including debt, the people said, asking not to be identified because the information is confidential. Clearwater investors would get $24.55 a share for an equity value of about $7 billion, they said, roughly 10% higher than the stock’s last close.
