Motorola Agrees to Acquire Radio Maker Silvus for $4.4 Billion

Motorola Solutions Inc. has agreed to buy closely held wireless-radio maker Silvus Technologies Inc. from TJC for $4.4 billion in its second-biggest acquisition.

The deal provides for about $4.38 billion in cash and approximately $20 million in restricted stock to certain employee equity holders, according to a statement Tuesday. Silvus also has the potential to receive a performance earnout of up to $600 million in the aggregate over consecutive 12-month periods ending in 2027 and 2028.

The transaction is expected to close in the third or fourth quarter, subject to regulatory approvals, Motorola said in the statement.
