Accellion Beats Centene’s Data Breach Indemnification Suit

Centene Corp. lost its suit against Accellion Inc. for indemnification of losses caused by a data breach, because the action was brought in the wrong place, a Delaware state court said.

A forum selection clause in the parties’ original licensing contract that required Centene to bring the suit in one of three San Francisco Bay-area counties also governed a later business associate agreement that lacked a venue provision, the Delaware Chancery Court said.

The court dismissed the case for improper venue.
