Tableau Board Beats Salesforce Holder’s ‘Double Derivative’ Suit

Tableau Software Inc.'s former board dodged insider trading claims by an ex-investor bought out in its $15.7 billion sale to Salesforce.com Inc., when a federal judge in Delaware ruled that the plaintiff should have demanded an investigation by Salesforce before suing.

Judge Stephanos Bibas, sitting by designation from the Third Circuit, dismissed the “double derivative” case from the U.S. District Court for the District of Delaware. The lawsuit failed to show any conflict of interest affecting Salesforce’s board that would have compromised its ability to look into the claims against Tableau’s, the judge said.
