Google’s $5.4 Billion Mandiant Deal Draws Lawsuit on Eve of Vote

A Mandiant Inc. investor sued the company Thursday in Delaware, citing concerns that its planned $5.4 billion sale to Alphabet Inc.'s Google—set for a shareholder vote Friday—represents an “exit strategy” for Mandiant insiders facing losses and liability stemming from an earlier transaction.

The lawsuit seeks to investigate claims that Mandiant’s leaders and top investors, including Blackstone Group Inc., arranged the $23-a-share Google deal to part ways with a company plagued by litigation and stock drops after selling its most profitable assets in a deal that “gutted” the business.
