K&L Gates Beats Fiduciary Duty Claim in Delaware Merger Dispute

A Delaware chancellor dismissed a breach of fiduciary duty claim against K&L Gates LLP Friday in a dispute stemming from a 2018 merger, saying a shareholder waited too long to bring its allegations.

“Florida imposes a two-year statute of limitations on fiduciary duty claims against law firms and attorneys, which” means the window to sue closed in July 2022, Vice Chancellor Morgan T. Zurn said for the Delaware Court of Chancery in a letter opinion, granting K&L’s motion to dismiss.
