A Skillsoft Corp. investor on Wednesday painted its directors as inextricably linked to a major backer as they negotiated the acquisition of online learning platform Codecademy, which the board has described as an “arms-length” transaction.
The Delaware Chancery Court lawsuit alleged Dutch technology investor Prosus NV used its voting power to force an overpriced deal in 2022 for Codecademy, in which it also held a significant stake. Prosus was dismissed as a defendant in the case in January 2024, while subsidiary MIH Learning BV remains named.
