Quotient Technology Inc. and its leadership misled investors about a proposed merger with the parent of Neptune Retail Solutions Inc., filing a proxy statement that left out key financial projections, analysis and background on the deal, a suit filed Monday says.
An investor sued the digital marketing company and its directors for allegedly misrepresenting the Neptune acquisition in asking shareholders to approve the deal. He seeks to block an upcoming vote on the matter, according to the complaint filed Monday in US District Court for the Southern District of New York.
