WCG Clinical Services LLC will face a more narrow slate of claims over post-merger payments to health care technology company Trifecta Multimedia Holdings Inc. and its founder, a Delaware Chancery Court judge ruled Monday.
WCG engaged in “puffery” to boost its appeal as a strategic partner, and its attorneys “may well have been mistaken” about Delaware legal requirements about contract terms for an implied covenant of good faith and fair dealing, Vice Chancellor J. Travis Laster wrote Monday in an opinion dismissing some claims against the private equity portfolio company of Leonard Green & Partners and Arsenal Capital Partners.
