Jeremiah Rabe unilaterally dissolved On Point Loyalty LLC, transferring its assets to an independent consultant who brought in one of the three original clients, without board approval as mandated by the company’s operating agreement, the Court of Chancery for the State of Delaware said in an opinion filed on June 30.
