Investor Wins $1 in Suit Over Airline Loyalty Program Firm’s End

VH5 Capital LLC won a dollar in damages after prevailing its breach of contract suit against a man who set up a consulting firm for airline loyalty programs and shut the firm down without following agreed-upon operating procedures.

Jeremiah Rabe unilaterally dissolved On Point Loyalty LLC, transferring its assets to an independent consultant who brought in one of the three original clients, without board approval as mandated by the company’s operating agreement, the Court of Chancery for the State of Delaware said in an opinion filed on June 30.
