A private equity affiliate of Integrum Holdings LP escaped fraud allegations in Delaware Chancery court Friday, bringing OPN Holdings Co. Ltd.'s countersuit over alleged stock purchase misrepresentations to a close.
Mars HoldCo Corp. and OPN’s failed to plead “actual and intentional” fraud or show liability in their counterclaim against Sam I Aggregator LP, Chancellor Kathaleen St. J. McCormick said in an opinion. Mars and OPN also failed to adequately allege Integrum’s knowledge of alleged impropriety on behalf of an affiliate company’s chief financial officer, warranting dismissal of the third-party claim and the counterclaim.
