Delaware Corporate Law Amendments Signed Into Law by Governor

Amendments to Delaware corporate law that prompted rare public tension between the state bar and sitting Chancery Court judges were signed into law Wednesday by Gov. John Carney (D), according to legislative records.

The updates (S.B. 313) were drafted in response to a landmark Chancery Court decision invalidating some contracts between corporations and powerful investors, and they encountered little pushback from lawmakers. Critics argued the amendments circumvented judicial review, as the Feb. 23 ruling hasn’t yet been appealed to the Delaware Supreme Court.
