CohBar Inc. and its directors allegedly misled investors about a deal to combine with Morphogenesis Inc., a shareholder says in a lawsuit filed Friday seeking to put the tie-up on hold.
The biotechnology companies plan to merge, providing stockholders of each with shares in the combined company, but shareholders can’t make an informed decision to vote for the proposed transaction without key financial details missing from a Sept. 12 prospectus, according to the complaint filed in US District Court for the District of Delaware.
