Church & Dwight Ex-CEO Settles Conflict Disclosure Case With SEC

Former CEO of the consumer products conglomerate Church & Dwight Co. Inc. will pay $175,000 to settle charges from the Securities and Exchange Commission alleging he violated disclosure rules when he was elected as an independent director.

James Craigie, who served as CEO for 11 years beginning in 2004, failed to disclose his close personal relationship with a member of Church & Dwight’s executive team and the executives spouse even though as independent director he couldn’t have a material relationship with the company, according to the SEC’s complaint.
