Aramark Educational Services LLC hit Delaware State University and Wesley College with a suit alleging they engineered a “sham” merger to evade Wesley’s debts, including a seven-figure debt to Aramark.
Wesley owed Aramark $4 million at the time of the acquisition, according to the complaint filed by the food services giant Monday in the Delaware Chancery Court.
Although DSU assumed Wesley’s liabilities under the acquisition agreement, it made only a $1.5 million payment toward Wesley’s debt after the acquisition, and later disclaimed Wesley’s debt, Aramark alleges.
