Amedisys Filed Misleading Proxy for UnitedHealth Deal, Suit Says

Amedisys Inc. and its directors misrepresented key details in a proxy statement ahead of a merger with UnitedHealth Group Incorporated, a suit says.

UnitedHealth and Amedisys announced the $3.29 billion deal in June, and Amedisys filed a proxy statement the following month in support of the proposed transaction. But the proxy allegedly misled investors about the sale process and conflicts of interest for management, financial projections for Amedisys, and data underlying the financial valuation of the deal, said the complaint filed Monday in US District Court for the Southern District of New York.
