Alteryx Sued Over Alleged Omissions in $4.4 Billion Merger Proxy

Alteryx Inc. and its directors allegedly left key details out of a proxy statement soliciting votes for a proposed $4.4 billion sale to private equity firms Clearlake Capital Group LP and Insight Partners, a shareholder suit filed Thursday says.

The software developer’s proxy statement omitted information that shareholders need in order to cast informed votes, including financial forecasts and data underlying financial adviser Qatalyst Partners LP’s analysis of the deal, according to the complaint filed in the US District Court for the Southern District of New York.
