AbbVie, Allergan Merger Suit Dismissal Upheld By Illinois Court

An Illinois appellate court on Wednesday affirmed a lower court’s decision throwing out a challenge related to AbbVie Inc.‘s acquisition of Allergan Plc, finding that an Irish court gave Allergan shareholders sufficient notice of a fairness hearing and they had a right to appear at that hearing through counsel.

Beyond that, the Allergan shareholder who brought the suit “suffered no actual or threatened injury” from the merger, Illinois Appellate Court Justice LeRoy Martin Jr. wrote.
