3-D Printer Companies Sued By Shareholders Over Poison Pill (1)

Desktop Metal Inc. and Stratasys Ltd, two 3-D printer manufacturers, have been sued by DMI stockholders over a poison pill provision required by the companies’ merger agreement.

The Building Trades Pension Fund of Western Pennsylvania filed the proposed class action in the Delaware Chancery Court on Tuesday, contending the poison pill provision “chills” stockholders’ ability to communicate with each other about the merger vote.

The two companies announced an all-stock merger deal valued at $1.8 billion dollars on May 25. If the deal goes through, DMI stockholders will get 0.123 Stratasys shares per DMI share they own and make up ...
