CBS Must Turn Over Some Viacom-Merger Files to Pension Fund (2)

CBS Corp. officials must turn over some files about its $11.7 billion merger with Viacom Inc. to an investor who wants to probe whether “potential wrongdoing” by controlling shareholder Shari Redstone tainted the deal.

A Pennsylvania pension fund raised legitimate questions about the stock-for-stock merger, providing a “credible basis to suspect wrongdoing” and justifying the records request, Delaware Chancery Court Judge Joseph Slights III concluded Monday.

Slights said he provided an expedited ruling in the case because the Bucks County Employees Retirement System said it may use the files “to seek to enjoin the closing,” according to the 29-page decision. ...
