The Federal Circuit affirmed the decision of a federal district court in California dismissing Finelite Inc.'s breach of contract, breach of warranty, and declaratory judgment claims against Samsung Semiconductor Inc. relating to the parties’ agreement for LED chips. The appeals court said the parties’ agreement incorporated the entirety of a contract of sale as opposed to only certain specified terms, so the agreement’s indeminification clause applies.
