The SEC is gearing up for what could be a continued surge of corporate requests to keep certain shareholder proposals out of annual meetings.
The Securities and Exchange Commission has seen an uptick in corporate requests for advice on how to navigate shareholder proposals: the agency received 276 requests last year as opposed to 194 the year before, said Michael Seaman, chief counsel of the SEC’s Division of Corporation Finance, speaking at a Practising Law Institute conference on Wednesday.
