Vista’s $2.6 Billion Duck Creek Buyout Draws Investor Lawsuit

A shareholder sued Duck Creek Technologies Inc. over concerns that company leaders with conflicts of interest may have steered the software maker into an underpriced buyout by Vista Equity Partners.

The lawsuit—coming a day before investors approved the $2.6 billion take-private deal—seeks internal files from Duck Creek in a bid to investigate allegations that its board “deliberately handicapped” a competing bid. An unidentified private equity suitor showed interest in topping the $19-per-share bid by Vista, which has a reputation for closing transactions at warp speed, the suit says.
