Vista Sued Over $2 Billion Deal That Ended Insider Trading Case

Vista Equity Partners Management LLC engineered an unfair $1.9 billion fire sale of Integral Ad Science Holding Corp. to escape $270 million in potential insider trading liability, according to a lawsuit unsealed Wednesday.

A former Integral retail investor is suing Vista in Delaware’s Chancery Court, saying it offered the adtech business to Novacap Management Inc. for a discount because the $10.30-per-share deal was aimed primarily at erasing an ongoing case. The earlier suit, filed by the same shareholder, said Vista dodged hundreds of millions in losses through strategic stock sales timed to beat disclosures about headwinds facing Integral.
