TD Bank Looks Internally for New Top In-House Lawyer

Toronto-Dominion Bank has tapped Norie Campbell to serve as group head and general counsel of TD Bank Group following the departure last month of its former legal chief.

A TD Bank spokeswoman confirmed to Bloomberg Law that Campbell’s appointment, which had not been publicly announced, was made March 13 after former general counsel Ellen Patterson left the financial services giant to head the legal group at Wells Fargo & Co.

Campbell didn’t respond to a request for comment about her new role, which is in effect a return to a position she once held. In late 2011, Campbell was a senior vice president and assistant general counsel of TD Bank’s Canadian legal department when she was promoted to general counsel of the entire bank.

She then joined TD Bank’s senior executive team in 2013 as group head and chief general counsel, a role that saw her oversee a team handling legal, compliance, anti-money laundering, financial crimes and fraud management, and enterprise projects work. In November 2017, Patterson became TD Bank’s general counsel when Campbell was promoted to group head of customer and colleague experience.

That position saw Campbell have responsibility for human resources, marketing, corporate and public affairs, and enterprise projects at TD Bank, where she also serves as chair of the Toronto-based bank’s Inclusion and Diversity Leadership Council and co-chair of its annual United Way Campaign.

TD Bank hired Campbell, who began her legal career at top Canadian law firm McCarthy Tétrault, in 2000 as an associate vice president in its legal department. Over the next decade she served as a special assistant to TD Bank’s CEO, vice president of legal, and vice president of corporate governance. Campbell owns roughly $470,000 in TD Bank stock, according to Bloomberg data.

Rasha El Sissi, who like Campbell also started her career as an associate at McCarthy Tétrault, is corporate secretary at TD Bank. Former McCarthy Tétrault partner Christopher Montague previously served as TD Bank’s general counsel prior to Campbell taking over the role almost a decade ago.

Montague, Campbell, and Patterson—the latter then a partner at Simpson Thacher & Bartlett in New York—all worked together in advising TD Bank on its acquisitions of Portland, Maine-based Banknorth Group Inc. in 2007 and Farmington Hills, Mich.-based Chrysler Financial Corp. in late 2011. TD Bank is now one of the 10 largest banks in the U.S. when ranked by assets or total deposits.
