Soylent Sale to Starco Brands Lands in Delaware’s Chancery Court

Former investors in Soylent Nutrition Inc., the venture-backed protein drink maker known for its early adoption by tech workers, are suing Starco Brands Inc. in Delaware over its acquisition of the nutrition company in February.

The lawsuit says Starco is breaching several provisions of the sale agreement, including one that lays out a dispute resolution process for post-closing price adjustments and another that sets minimum pay levels for Soylent employees still working there six months after the deal.

The ex-shareholders have “endeavored in good faith to convince Starco to abide by its commitments,” according to the court filing made public ...
