SEC’s Shareholder Proposal Refereeing Nears Full Court Review

A self-described conservative think tank is preparing to contest a Fifth Circuit ruling that preserved the SEC’s sway over which shareholder proposals make it onto companies’ annual meeting ballots.

The National Center for Public Policy Research plans to ask the full US Court of Appeals for the Fifth Circuit to review a three-judge panel’s November decision tossing the group’s challenge to the Securities and Exchange Commission’s refereeing system, Trent McCotter, a lawyer for the organization, told Bloomberg Law on Wednesday.
