Netflix Keeps Hoag on Board After Investor Rejection, Adds Mertz

Netflix Inc. said Jay Hoag will remain on its board of directors after shareholders voted against his reelection earlier this month.

The proxy adviser Institutional Shareholder Services had urged investors to reject Hoag’s nomination after the venture capitalist failed to attend enough board meetings last year.

“The board determined that his absences in 2024 did not indicate a lack of commitment to his duties,” Netflix said in a regulatory filing on Tuesday. Prior to that, Hoag’s attendance was “exemplary,” the company said.
