Jeff Green’s $5 Billion Pay Plan Upheld by Delaware’s Top Court

Trade Desk Inc. founder Jeff Green prevailed on appeal Thursday against shareholders seeking to upend a trial court ruling that let him keep a pay package potentially worth $5.2 billion.

Delaware’s top court upheld the compensation deal, which was the second-largest ever for a CEO when it was issued in 2019. The “mega grant” became the biggest CEO equity package when a Delaware Chancery Court judge voided Elon Musk‘s record $56 billion deal in a landmark 2024 rulingalso on appeal—that led the world’s richest man to launch a two-year pressure campaign against the state’s judiciary.
