Dropbox Case Links Delaware Exit to Major Corporate Law Overhaul

Dropbox Inc.'s corporate shift from Delaware to Nevada reflects an effort to escape liability over its pivot from file storage to artificial intelligence, according to an unsealed lawsuit.

A pension fund suing the tech company and founder Andrew Houston made public its court complaint days after revealing the case would be the first to directly challenge last month’s overhaul of Delaware corporate law.
