The founder of cybersecurity company Centripetal Networks Inc. is facing litigation over claims he restructured the company through a “sham merger” with another affiliate while keeping a major investor in the dark about key deal details.
In addition to Centripetal founder Steven Rogers, the lawsuit in Delaware’s Chancery Court targets his son Jonathan, who allegedly formed part of the same control bloc. It’s the third recent suit involving Centripetal initiated by affiliates of Option3 Ventures LLC, a private equity firm focused on cyber investing.
