UnitedHealth Leaders Sued by Investor Over Antitrust Firewall

UnitedHealth Group Inc. directors are being sued by a shareholder who alleges investors were misled about the health insurer’s efforts to separate business units after acquiring Change Healthcare Inc.

The derivative lawsuit follows reports that the Department of Justice opened an antitrust investigation into the relationships between UnitedHealth’s business segments. A proposed class action was brought by investors in May.

The new complaint, filed Monday in the US District Court for the District of Minnesota, said the directors’ alleged misconduct will cost the company significant amounts of money, requiring internal investigations and defense of the proposed class action.
