California Court Affirms Dismissal Of Suit Over Vishay Deal for Siliconix

The California Court of Appeal Feb. 19 affirmed dismissal of an action challenging Vishay Intertechnology Inc.’s tender offer and merger with Siliconix Inc., citing the prior adjudication of related claims in a Delaware court (Proctor v. Vishay Intertechnology Inc.).

“Because we agree with the superior court’s application of collateral estoppel to the Delaware court’s adjudication of the issues, we must affirm the judgment dismissing the action,” Justice Franklin Elia said.
