- Giuffra was lead counsel on Volkswagen emissions
- Miller was a long-time outside counsel for Fiat
Sullivan & Cromwell has selected Robert J. Giuffra Jr., a firm litigator, and Scott D. Miller, a corporate attorney, as vice chairs, bolstering its leadership with two veterans of the practice.
Giuffra, who has been with the firm since 1989, was lead counsel for Volkswagen AG in class actions and government investigations over diesel emissions.
Miller, who joined Sullivan & Cromwell in 1986, represents Fiat Chrysler Automobiles NV in its $50 billion merger with PSA Group set for completion this month and was principal outside counsel to Fiat for nearly two decades. He coordinates the firm’s U.S. and European corporate practice in New York.
“Their complementary practices reflect the wide variety of the work our partners do for our clients,” firm Chair Joseph C. Shenker said in a statement. He is in his 12th year as chairman, following four years as vice chair.
The Wall Street firm is best known for its work on securities, mergers and acquisitions, and financial services, with clients including Wells Fargo & Co. and Goldman Sachs Group Inc. It advised Goldman in Salesforce.com Inc.'s agreement announced last month to acquire Slack Technologies Inc. for $27.7 billion in cash and stock.
Giuffra in December was part of a firm team representing Goldman in its successful bid for Supreme Court review of a key securities fraud case involving shareholder class actions against public companies whose stock prices fall.
Miller has led initial public offerings and listings of clients as diverse as Ferrari NV and sports betting company DraftKings Inc. He also worked as managing partner of the Palo Alto, Calif., office and represented Canada’s metals group Alcan in its $6.2 billion bid to take over French aluminum producer Pechiney.
The 900-lawyer Sullivan & Cromwell, which was founded in 1879, is among the top firms measured by profits per partner, which were $4.65 million last year.
