Paul Weiss, Sidley Steer Apollo’s $1.5 Billion Real Estate Play

Big Law dealmakers guide Apollo Global Management Inc.'s plan to buy Bridge Investment Group Holdings Inc. for $1.5 billion, as interest in commercial real estate surges.

Paul Weiss Rifkind Wharton & Garrison provided advice to Apollo as its legal counsel, and Sidley Austin guided insurance regulatory matters for the asset manager.

Latham & Watkins lawyers advised Bridge, and Cravath, Swaine & Moore acted as legal counsel to the special committee of Bridge’s board of directors.

Bridge’s executive chairman, Robert Morse, will become an Apollo partner and head of its real estate equity franchise. Bridge will continue to operate as a standalone platform within Apollo’s asset-management business. The deal is expected to close in the third quarter.

The Paul Weiss team guiding Apollo was led by partners Ross A. Fieldston, Joseph Glatt, Ian M. Hazlett, David C. Hepp and Matthew B. Collin. The Sidley team leads are Andrew Holland, Michael Devins, and Owen Skelding.

Latham’s corporate deal team, which is made up of the firm’s leadership on asset management M&A transactions, was led by partners Craig M. Garner, Kevin C. Reyes, Owen J.D. Alexander, and Jason Morelli.

Cravath’s team was led by partner G.J. Ligelis Jr. on M&A matters; partners Lauren Angelilli and Andrew T. Davis on tax matters; partner Matthew J. Bobby on executive compensation and benefits matters; partner David J. Kappos on intellectual property matters; and partner Matthew Morreale on environmental matters.

Debevoise steered JP Morgan as financial adviser to Bridge. Its team was led by M&A partner Andrew Bab.
