Paul Hastings advised private equity firm Symphony Technology Group on its plan to buy
Wilson Sonsini Goodrich & Rosati advised FireEye, the Milpitas, Calif.-based cybersecurity company.
FireEye’s network, email, and cloud security products branch will become a stand-alone portfolio company of STG, under the deal. FireEye’s threat intelligence and services arm will split off as a separate company, Mandiant Solutions, according to a statement.
FireEye said its is committed to building and preserving a strong partnership between the two entities to benefit joint customers.
“We are extremely impressed by the FireEye products business and the mission critical role it plays for its customers,” said William Chisholm, STG managing partner. “We believe that there is enormous untapped opportunity for the business that we are excited to crystallize by leveraging our significant security software sector experience and our market leading carve-out expertise.”
The transaction is expected to close by year’s end.
