Paul Hastings Bolsters Public Companies Group With Goodwin Hire

Paul Hastings is poised to hire Andrew Goodman, a former Goodwin Procter partner who advises companies on mergers and acquisitions and shareholder activism defense.

Goodman will join Paul Hastings Monday and will work out of its Boston and New York offices, according to the firm.

The hire bolsters Paul Hastings’ priority to strengthen its capabilities representing public company executives and boards of directors on complex matters, Frank Lopez, the firm’s leader, said in a statement.

“Andrew’s extensive experience in public M&A and shareholder activism, particularly in the life sciences and technology sectors, enhances our ability to serve premier clients and gain market share at the top of the market,” Lopez said.

Goodman advises clients on fiduciary and governance matters, including contests for corporate control. He’s worked with clients including Beacon Capital Partners, Brookfield Properties, Forma Therapeutics, iRobot, Morgan Stanley, Teva Pharmaceuticals, WisdomTree Investments, and Xoom, the firm said in a statement.

Goodman said in an interview that he’s excited to work under Eduardo Gallardo, global co-chair of Paul Hastings’ M&A practice. Gallardo joined the firm in 2022 from Gibson Dunn & Crutcher. Goodman will also reunite with a handful of former Goodwin Procter partners at Paul Hastings, including Sean Donohue, co-chair of shareholder activism & takeover defense, who joined last year.

“It’s a big factor,” he said of joining former colleagues. “The firm is strategically focused on strengthening its capabilities to support C-suite executives and boards of public companies. That’s what I do every day, so it is a great time to join Paul Hastings.”

The hire continues a streak of additions at Paul Hastings’ private equity, corporate M&A, and shareholder activism practices over the past 18 months.

The firm last year hired a three-partner private equity team led by former Silicon Valley-based Goodwin Procter partner Scott Joachim. In Boston, it added a seven-lawyer private equity buyout team led by Alex Temel and Bill Schwab, former Sidley Austin partners.

In another hire from Goodwin Procter, Paul Hastings in March hired Josh Ratner, who now serves as global vice chair of private equity.
