O’Melveny Aids Formula 1 Owner Liberty’s $3.8 Billion MotoGP Buy

Liberty Media Corp. turned to O’Melveny & Myers for advice in the planned acquisition of Dorna Sports, the rights holder of MotoGP World Championship motorcyle racing league.

O’Melveny’s corporate department co-chair, C. Brophy Christensen, led the firm’s team in aiding Liberty. Christensen’s past work included representing Palantir Technologies Inc. in a $200 million private placement and Western Digital Corp. in two secondary public offerings totaling nearly $1.36 billion.

O’Melveny partners Brad Finkelstein, Andrew Weiler, Noah Kornblith and Robert Wann also advised Liberty in the $3.8 billion deal. Latham & Watkins advised Dorna Sports.

Since at least March last year, Liberty has shifted some work from long-time legal adviser Baker Botts in favor of O’Melveny. Baker Botts in previous years had benefited from Liberty’s outsourcing model, in which it hired the firm to do a good amount of its legal work

Liberty’s acquisition of Dorna would build its plan to grow its live sports and entertainment offerings. Liberty already owns Formula 1 racing and concert promoter Live Nation Entertainment Inc.

Liberty will acquire 86% of MotoGP from Bridgepoint and the Canada Pension Plan Investment Board. MotoGP management will retain about 14% of the equity in the company.
