Gibson Dunn & Crutcher steered US oil and gas producer Coterra Energy Inc. in purchasing a combined $3.95 billion of assets from Avant Natural Resources and Franklin Mountain Energy.
Kirkland & Ellis guided both target companies.
The deal widens Coterra’s footprint in the Permian Basin as US oil companies situate themselves for future drilling sites.
Gibson Dunn’s corporate team included partners Rahul Vashi, who is co-chair of the firm’s oil and gas practice group; Tull Florey, a partner in the Houston office; and Hillary Holmes, who is co-chair of the firm’s capital markets practice group. Partner Michael Cannon advised on tax aspects, and partner Krista Hanvey counseled on benefits.
Kirkand’s team guiding Franklin Mountain Energy included real asset lawyers Chris Heasley and Will Eiland; corporate lawyer John Kaercher; real asset lawyers Luke Strother, Matt Gibson, Mitch Holliman, Trent Tucker and Jake Johnson; transactional liability insurance lawyer Hayley Hollander; capital markets lawyer Michael Rigdon; debt finance lawyer Jordan Roberts; tax lawyer David Wheat; and antitrust and competition lawyer Chuck Boyars.
The Kirkland group steering Avant included Kaercher, Heasley and Albert Jou, a corporate partner in Houston; corporate lawyer Paul Milani; tax lawyers Wheat and Rebecca Fine; environmental transactions lawyers Jonathan Kidwell and Courtney Tibbetts; antitrust and competition lawyers Boyars, Sarah Lonvick and Miguel Suarez Medina; transactional liability insurance lawyer Hollander; and employment and labor lawyer Christie Alcala.
Kirkland topped Bloomberg’s league table for global energy transactions in the first three quarters of the year. It was followed by Wachtell Lipton Rosen & Katz and Vinson & Elkins.
Gibson Dunn last year was the top legal adviser in the category.
